1. Acceptance of Terms

By accessing or using CyberReadiness.AI ("CyberReadiness" or "the Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and WizAgents AI LLC ("WizAgents," "we," "us"), a company registered in Wyoming, USA, which operates the Service.

We may update these Terms from time to time. Continued use of the Service after updates constitutes your acceptance of the revised Terms.

2. Description of the Service

CyberReadiness is a free, informational, AI-guided cyber insurance readiness assessment platform. The Service allows businesses to:

• Complete a structured self-assessment covering their security controls, practices, and risk posture;
• Receive a CyberReadiness Score — two components: Cyber Posture and Insurance Readiness — based on their responses;
• Review a gap analysis identifying areas where their security posture may fall short of typical insurer expectations;
• Optionally submit their assessment to request insurance quotes or remediation assistance from relevant third parties, at their discretion.

The Service is provided free of charge. There is no obligation to take any further action after completing an assessment.

4. Accounts and Eligibility

To use the Service, you must:

• Be at least 18 years of age;
• Be using the Service on behalf of a business or organization, not for personal use;
• Be authorized to represent and provide information on behalf of that business;
• Provide accurate, current, and complete registration information and maintain its accuracy.

You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. Notify us immediately at security@cyberreadiness.ai if you suspect unauthorized access to your account.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
• Provide false, misleading, or fraudulent information in your registration or assessment responses;
• Attempt to probe, scan, or test the vulnerability of the Service or its underlying infrastructure;
• Attempt to reverse-engineer, decompile, or extract the Service's scoring algorithms or proprietary methodology;
• Use automated tools (bots, scrapers, crawlers) to access or interact with the Service without our prior written consent;
• Interfere with or disrupt the integrity or performance of the Service or its systems;
• Impersonate any person or entity or misrepresent your affiliation with any business.

6. User Content and Accuracy

You are solely responsible for the accuracy, completeness, and truthfulness of the information you provide through the Service — including your registration details and all assessment responses. The quality and usefulness of your readiness score and gap analysis are directly dependent on the accuracy of your inputs.

WizAgents takes no responsibility for scores or outputs that result from inaccurate or incomplete information you provide. Submitting materially false information — particularly when requesting quotes or remediation assistance — may have consequences under applicable law.

By submitting information through the Service, you grant WizAgents a limited license to use that information to provide the Service to you, as described in our Privacy Policy.

7. Intellectual Property

WizAgents AI LLC owns all right, title, and interest in and to the Service, including its design, code, scoring methodology, assessment framework, question bank, and all content generated by the platform. Nothing in these Terms transfers any ownership rights to you.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose — assessing your business's cyber insurance readiness — subject to these Terms. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

8. Third-Party Services

If you choose to submit your assessment to request insurance quotes or remediation assistance, your information will be shared with relevant third-party partners. Those partners operate independently of WizAgents and are governed by their own terms, policies, and licensing requirements.

WizAgents does not guarantee, endorse, or take responsibility for the quotes, pricing, coverage, advice, or services offered by any third-party partner. Any engagement with a third party is solely between you and that party.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant that the scores or gap analyses produced by the Service will be accurate, complete, or suitable for any particular purpose. Cyber insurer requirements change frequently; scores reflect the state of our assessment model at the time of your assessment.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WIZAGENTS AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED ONE HUNDRED US DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability will be limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless WizAgents AI LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any false or inaccurate information you provide through the Service.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts.

Before initiating formal legal proceedings, we encourage you to contact us at hello@cyberreadiness.ai to attempt to resolve the dispute informally.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify registered users by email. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
